The main assistance falling within this heading
consists of representing the client at general
meetings and boards of directors of companies, the
preparation and amendment of company by-laws, the
establishment of silent partnerships, the
preparation of shareholders’ agreements and,
generally, the drafting and review of agreements
relating to the successful running of a business
(e.g. commercial property leases, property and share
transactions) as well as its sale and/or liquidation.
Advice is also provided on corporate governance
matters and the role and obligations of the officers
and members of a company within the company itself
and towards third parties. Assistance is finally
provided also in respect of financing for the
business. |
