MERGERS, ACQUISITIONS AND DISPOSALS


We can assist our clients in all the stages of an M&A transaction. In particular:

a) in cases of acquisitions of businesses (whether by way of share deals or business assets deals) we can undertake the initial strategic analysis of the relevant sector, identify potential targets, analyse their economic, financial and operational performance and determine the relevant risks and opportunities. Subsequently, we can undertake due diligence, prepare a business information pack and provide a price range for the transaction. We can also provide our advice and assistance in all stages of the transaction, including the disposal of non-core business divisions and property.

b) for mergers, we carry out a global analysis of the target company (commercial, economic, operational, financial and risk-related) and can prepare the business plan for the integration of the business, including a review of tax implications. We can assist our client in all stages of the transaction and can provide post-completion support for the purpose of implementing the business plan.

c) for disposals, our initial assistance consists in the review of the reasons behind the proposed sale and the initial sale price. We evaluate possible alternatives to the disposal (e.g. joint ventures etc.) as well as the legal and tax implications of the deal in order to optimise its structure. We can identify the best sale strategy both within a domestic and international context as well as provide our assistance in the negotiation stages with potential buyers and in the contractual stage with the final buyer.
